911 SECURE, LLC LICENSE AGREEMENT

This legal document is an agreement between you, the end user, and 911 Secure, LLC. BY INSTALLING THIS SOFTWARE PACKAGE, YOU ARE AGREEING TO BECOME BOUND BY THE TERMS OF THIS SOFTWARE LICENSE AGREEMENT. 

THIS AGREEMENT CONSTITUTES THE COMPLETE AGREEMENT BETWEEN YOU AND 911 SECURE, LLC. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL THE SOFTWARE PACKAGE. CONTACT THE DEALER WHERE YOU OBTAINED THE EQUIPMENT AND SOFTWARE FOR RETURN.

GRANT OF LICENSE In consideration of payment of the license fee, which is part of the price you paid for this product, 911 Secure, LLC, as licensor, grants to you, the licensee, a nonexclusive right to use and display this copy of a 911 Secure, LLC software program ( hereunder the “ Software” ) on a single computer ( i.e., with a single CPU ) at a single location. 911 Secure, LLC reserves all rights not expressly granted to the licensee.

OWNERSHIP OF SOFTWARE This software and the accompanying written materials are copyrighted. Unauthorized copying of the Software, including Software that has been modified, merged, or included with other software, or of the written materials is expressly forbidden. You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to abide by the terms of this License.

COPY RESTRICTIONS  This Software and the accompanying written materials are copyrighted. Unauthorized copying of the Software, including Software that has been modified, merged, or included with other software, or of the written materials is expressly forbidden. You may be held legally responsible for any copyright infringement that is caused or encouraged by your failure to abide by the terms of this License. Subject to these restrictions, and if the Software is not copy-protected, you make one (1) copy for the Software solely for backup purposes. You must include the copyright notice on the backup copy.

USE RESTRICTIONS As the Licensee, you may physically transfer the Software form one computer to another provided that the Software is used on only one computer at a time. You may not electronically transfer the Software from one computer to another over a network. You may not distribute copies of the Software or accompanying written materials to others. You may not modify, adapt, translate, or create derivative works based on the written materials without the prior written consent of 911 Secure, LLC.

TRANSFER RESTRICTION This Software is licensed only to you, the Licensee, and may not be transferred to anyone without the prior written consent of 911 Secure, LLC. Any authorized transferee of the Software shall be bound by the terms and conditions of this Agreement. In no event may you transfer, assign, rent, lease, sell, or otherwise dispose of the Software on a temporary or permanent basis except as expressly provided herein.

TERMINATION This License is effective until terminated. This License will terminate automatically without notice from 911 Secure, LLC if you fail to comply with any provision of the License. Upon termination you shall destroy the written materials and all copies of the Software, including modified copies, if any.

UPDATE POLICY 911 Secure, LLC may create, from time to time, updated versions of the Software. At its option, 911 Secure, LLC will make such updates available to the Licensee and transferees who have paid the update fee.

LIMITATION OF LIABILITY 911 Secure, LLC's cumulative liability to you or any other party for any loss or damages resulting from any claims, demands, or actions arising out of or relating to this License Agreement shall not exceed the license fee paid to 911 Secure, LLC for the use of the Program. In no event shall 911 Secure, LLC be liable for any indirect, incidental, consequential, special, or exemplary damages or lost profits, even if 911 Secure, LLC has been advised of the possibility of such damages.

GOVERNING LAW This License Agreement shall be construed and governed in accordance with the laws of California.

SERVERABILITY Should any term of this License Agreement be declared void or unenforceable by a court of competent jurisdiction such declaration shall have no effect on the remaining terms hereof.

NO WAIVER The failure of either party to enforce any rights granted hereunder or to take action against the other party in the event of any breach hereunder shall not be deemed a waiver by the party as to subsequent enforcement of rights to subsequent actions in the event of future breaches.

INDEMNIFICATION 911 Secure, LLC shall defend and indemnify Licensee against any claim brought by a third party alleging that the Software infringes any United States Copyright (“Claim”) provided that Licensee (a) promptly notifies 911 Secure, LLC in writing of the Claim, (b) allows 911 Secure, LLC, at its own expenses, to control the defense or settlement of the Claim and (c) gives 911 Secure, LLC all reasonable information and assistance necessary to defend the Claim.
